Notice is hereby given that at an Extraordinary General Meeting of the Hesketh Golf Club Limited to be held on the 30th day of May 2019 at 19:00 the following Special Resolution to Amend the Articles of Association of the Hesketh Golf Club Limited 1) That the Articles of Association shall be amended so as to take the form of the Articles of Association attached to this Resolution in substitution for and to the exclusion of any Articles of Association registered with the Registrar of Companies and Companies House. Notice is hereby given that at an Extraordinary General Meeting of the Hesketh Golf Club to be held on the 30th day of May 2019 at 19:15 the following Special Resolution to dissolve Hesketh Golf Club will be submitted to Members; 1) That in the effective pursuit of the objectives of the Memorandum and Articles of Association of the Hesketh Golf Club Limited, the present unincorporated Hesketh Golf Club be dissolved in accordance with Paragraph 32 of the Rules of the Hesketh Golf Club and that the remaining assets and liabilities be transferred to the Hesketh Golf Club Limited, Company Number 170,373, which was incorporated and registered for the purpose by the Subscribers on 2ndSeptember 1920. To provide background on the proposed changes printed copies of the following documents are available from the Office by request.
